Terms and Conditions

General obligations for Partners

You represent and warrant that You 1) have full legal capacity and authority to enter into this Agreement; 2) have obtained, and will maintain during the term of this Agreement, all required permits, consents, registrations to perform Your activities under this Agreement.

You shall ensure that all of Your marketing activities, materials, and distribution channels are professional, lawful, and compliant with all applicable laws and regulations, as well as this Agreement. You shall be solely responsible for the distribution, content and manner of all of Your marketing activities under this Agreement.

You shall not engage in promotion of any content that:

• Promotes sexually explicit materials;
• Promotes violence;
• Promotes any form of discrimination;
• Is designed to target or appeal, in Our sole discretion, in any way to people under the minimum age to be allowed to use Our services / Our affiliated entities’ services as set by the relevant authority;
• Promotes illegal activities;
• Incorporates any materials which infringe or assist others to infringe on any copyright, trademark or other intellectual property rights or to violate any law;
• Includes any unauthorized use of TonyBet and/or its affiliated entities’ marketing material, any intellectual property belonging to TonyBet and/or its affiliated entities;
• Includes any defamatory or misleading information on TonyBet;
• Is otherwise in any way unlawful, harmful, threatening, defamatory, obscene, harassing, or racially, ethnically or otherwise objectionable to Us in Our sole discretion;

You shall ensure that Your activities comply with all applicable advertising laws, regulations, and any marketing guidelines in relevant markets, including, but not limited to, those in which We and any of Our affiliated entities are licensed, and in which You conduct marketing activities and/or target Customers. You shall ensure that Your activities do not infringe any third-party rights, including, but not limited to, intellectual property rights.

You acknowledge that TonyBet and its affiliated operators are committed towards prevention gambling-related harm and responsible gambling obligations. You agree to cooperate with Us towards compliance with responsible gambling.

TonyBet applies a zero-tolerance policy towards intrusive and/or malicious software. Consequently, You shall not use, distribute, and in any other way exploit any spyware, adware, viruses, worms, or any other form of malware in connection with Your activities.

The meaning of “Spamming” includes all formats of spam, including but not limited to e-mail marketing, SMS marketing, and/or direct mail marketing. You shall not make any claims or representations, or give any warranties related to Us and You shall have no authority to, and shall not, bind Us to any obligations with any third parties. Any form of Spam detected constitutes breach of the Agreement and will result in attributable and payable remuneration being withheld for the period required for Us to investigate the circumstances and actions performed by You. You understand that You are liable to pay for any expenses suffered by TonyBet in dealing with Spam generated mail attributable to You, and We reserve the right to deduct any of such costs and expenses from remuneration attributable and payable to You.

You shall ensure that any of Your marketing activities provided under this Agreement are in Our and Our affiliated entities best interests and will in no way harm the reputation and/or goodwill of TonyBet and/or its affiliated entities.

In case of any breaches of this Agreement, without prejudice to any other remedies available under applicable laws and under this Agreement, including without limitations any specific conditions outlining additional liability, You shall be held liable in accordance to provisions of Restricted Activity & Liability Section below.

We reserve the right to perform background checks on You and may request any relevant documentation, in order for Us to satisfy Our KYC and DD obligations, including but not limited to any investigation into Your identity, personal history, registration details, such as name, address and age or Your financial transactions and financial standing.

Special obligations applicable for affiliate activities

In addition to and without prejudice to the other provisions stipulated in the Agreement, the following numerically ordered paragraphs and special conditions stipulated there shall apply, where You participate in TonyBet Affiliate Programme.

1. You shall complete and submit the online application via TonyBet Affiliate website affiliatestonybet.com. We will evaluate the affiliate’s application and, provided that Your affiliate’s application is acceptable, will notify You of its acceptance to the Affiliate Programme, after which the respective IO shall be signed with You. We shall have the right, at Our sole discretion, to reject Your application at any time, including, but not limited to, where You do not comply with any of terms of this Agreement, any applicable laws, regulations, or where Your website /-s and other promotional channels and materials are otherwise deemed unsuitable for TonyBet Affiliate Programme.
2. We reserve the right, at any time, to review the Link (see “Linking to TonyBet”) placement. If We deem, at Our sole discretion, that the Link placement does not comply with the Agreement or any laws and regulations, We may require that You change the placement.
3. To monitor Your activity within the frames of TonyBet Affiliate Programme We use, and rely on, the trafficking solutions offered by NetRefer and Alanbase platforms (“Platforms”). All of metrics relating to Your performance are generated through Platforms, therefore, any data provided by / gathered from Platforms with respect to Your performance shall be final and binding for You. You hereby agree not to address any claims against Us regarding the use of Platforms, including, but not limited to, any alleged inaccuracy, malfunctions, and failure of Platforms operations. We fully rely on technical solutions of Platforms and shall have no liability anyhow relating to technical solutions provided by Platforms and/or any data gathered from Platforms. We reserve the right, at Our own discretion and at any time, to change and/or modify the technical trafficking solutions exploited by adding new solutions and/or removing the existing ones.
4. Once You have successfully joined Our Affiliate Programme, We will register Your Customers and track their transactions. A “Customer” is a unique visitor who joins Our customer database after arriving at our Website via one of Your tracking Links, which will be provided to You when You will join Our Affiliate Programme. By opening an account with Us, these visitors will become Our Customers and, accordingly, all Our rules, policies, and operating procedures will apply to them. We will track Customers’ bets and plays. The mentioned information will be summarized in a form of report, which You can access on Your account. In order to keep accurate track of all Customers’ visits, You must use only the data that We provide You with. You are responsible for ensuring that all the referred Customers are properly tagged with You. TonyBet has the sole right to refuse Customers (or to close/suspend their accounts) if necessary, or to comply with any requirements, laws and regulations.
5. By agreeing to participate in the Affiliate Programme, You are agreeing to create and maintain unique links (“Link”) from Your website(s) to the websites, brands and/or the applications owned, operated and/or branded by TonyBet and/or any website, brand and/or application that are made available through the Affiliate Programme and may be specified in the IO. It is Your responsibility to follow the correct linking procedure and use only the tracking Link provided within the scope of the Affiliate Programme. Should it arise that You have been using an incorrect Link or one which was not provided to You as an Affiliate in our Programme, You understand that TonyBet shall not be held responsible for any damage or lost commission You may suffer. Banners and Links may not be placed within unsolicited e-mail, unauthorized newsgroup postings, or chat rooms or through “bots” or any other malware. TonyBet will not pay due when the generated traffic is illegal or contravenes any provision of the Agreement. You will only use Our approved marketing material (banners, html mailers, editorial columns, images and logos) and you must not alter their appearance nor refer to Us in any promotional materials other than those that are available from the Affiliate Programme’s website affiliatestonybet.com or provided by Us to You in any other way. When Your application is approved, TonyBet will provide You with all the required information and marketing material for the implementation of the tracking Link. You shall not change or modify in any way any Link or marketing material that is made available through TonyBet Affiliate Programme. You have to ensure that the marketing material is not reproduced, and is not in any way tampered with or altered, and used in accordance with the specifications and directions laid down by TonyBet.
6. You must undertake a higher socially responsible manner towards our end customers. Your website(s) where You promote the information which is made available through the Affiliate Programme, is unsuitable for Our Programme, if You do not follow the Agreement, laws and regulations. Notwithstanding anything mentioned in contrary, You shall communicate to Us in advance on each platform / website / channel / any other digital space You are planning to use / exploit within the Affiliate Programme.

Exclusivity

Where specifically agreed with Us in writing, You shall comply with, and be bound by, any exclusivity obligations specified therein, and shall not engage in any activities that would anyhow conflict with such exclusivity obligations.

Amendments & Termination

TonyBet reserves the right to modify, delete or amend any of the terms contained in the Agreement at any time at Our sole discretion without providing of prior notice. It shall be Your responsibility to thoroughly read, and remain fully acquainted with, provisions of the Agreement, including any amendments that, from time to time, may be made by Us. Both Parties are entitled to unilaterally terminate this Agreement. If You decide to terminate this Agreement, You must notify Us 15 (fifteen) days in advance.

We are entitled to terminate this Agreement at Our sole discretion at any time by informing You 15 (fifteen) days in advance. In case of You violation any of provisions of this Agreement, We are entitled to terminate this Agreement immediately. You shall acknowledge and confirm that upon termination of this Agreement You are no longer eligible to any remuneration, unless it is explicitly stated otherwise in this Agreement. Additionally, You shall acknowledge and confirm that responsibilities and obligations relating to confidentiality, intellectual property rights and indemnification shall survive any termination of this Agreement.

Upon termination of Agreement You shall immediately:

• cease to use, and refer to, any TonyBet / its affiliated entities’ trademarks, logos, any marketing materials, unless expressly agreed with Us on the contrary;
• cease to perform any of Your activities relating to promotion, marketing of Our brand, unless explicitly agreed otherwise;
• remove and disable all Links used within the frame of Affiliate Programme.

Intellectual Property

Nothing contained in the Agreement shall grant You any title or interest in the trademarks, trade names, brands, service marks or any other intellectual property rights (“Brand(s)”) of TonyBet, any of its affiliated entities and/or any other Partners. You shall not purchase or register keywords, search terms or other identifiers for use in any search engine, portal, sponsored advertising service or other search or referral service which are identical or similar to any of TonyBet’s trademarks or any other Brand that belongs to TonyBet or any of its affiliated entities, or variations thereof in the “domain name”, (i.e. after any prefixes, but before the top level domain suffix), or includes any metatags which is identical or similar to any of TonyBet’s or its affiliated entities Brands. You shall not create pages falsely representing any Brand in any social media channels (including but not limited to Facebook, Google +, Twitter etc.). You shall not create or design Your website or any other website that You operate, explicitly or implied in a manner which resembles Our website nor design in a manner which leads customers to believe that You are TonyBet or any other Partner business. At no time during or after the termination of this Agreement, shall You attempt or challenge or assist or allow others to challenge or to register or to attempt to register the Brands of TonyBet, its affiliated entities or any other Partner.

You shall not be entitled to use any of the Brands or other intellectual property of TonyBet and/or its affiliated entities, except as expressly agreed in this Agreement (or as otherwise authorized by Us in writing). You shall, at all times, comply with any instructions given by Us from time to time.

You shall not modify and/or adapt, and/or anyhow alter any intellectual property materials of TonyBet and/or its affiliated entities provided to You for the purposes of this Agreement without Our prior written consent.

Confidentiality

TonyBet considers it important to ensure that Our services are provided in a transparent, reliable, fair and lawful manner. We expect the same from Our Partners. More information about Our responsibilities towards privacy and security are described in the Privacy Policy on the company’s relevant websites.

“Confidential Information” means:

a) all information in whatever medium relating to the trade secrets, operations, processes, plans, intentions, product information, know-how, designs, market opportunities, transactions, affairs and/or business of a TonyBet and/or Our customers, clients, suppliers, holding companies and/or subsidiaries, employees, officers, shareholders, UBO’s and other affiliated parties;
b) all information relating to any marketing material or other material provided to You by Us including its related documentation;
c) the terms or subject matter of this Affiliation Agreement; and
d) the negotiations relating to this Agreement.

All Confidential Information that is made available to You in any manner and for any purpose, shall be treated confidentially. Such information must not be used for Your own personal or commercial purposes or any other purposes, and must not be divulged to any person or third party neither directly nor indirectly unless the prior explicit and written consent of TonyBet is given. You may not use Confidential Information for any purpose other than the performance of Your obligations under this Agreement.

Restricted Activity & Liability

Partner shall be an independent marketing partner promoting TonyBet entertainment services as specified in the Agreement and shall benefit solely from referring independent third-party individuals who become Our customers.

You shall not, directly or indirectly, access, register, use TonyBet and its affiliates entertainment services via Your own marketing materials, channels, activities, any tracking links, promos and any other mechanisms used in performing Your services under this Agreement, whether by Yourself or through any of Your relatives, business partners, agents, employees or any other related persons. Such activity shall be treated as material breach of this Agreement.

If it is detected You violate the forementioned restriction, TonyBet is entitled to immediately terminate the Agreement with You and, in the meantime, requesting the refund of all remuneration earned as a result of exploiting the Your marketing mechanisms under this Agreement in such a manner. Notwithstanding the mentioned, termination and refund resulting from the mentioned violation by Partner shall not anyhow prejudice and/or limit the rights of TonyBet to seek other remedies arising from this Agreement or applicable laws, including liability for damages caused.

Notwithstanding anything to the contrary in this Agreement, You shall be solely responsible for all Your actions under this Agreement, inclusive, but not limited to:

• breach of any provisions stipulated in this Agreement and/or any applicable law, regulatory guidelines, industry standards;
• any marketing / promotional activities performed by You or on Your behalf as a part under this Agreement;
• any use, misuse and unlawful use of Our / Our affiliated entities Brands or any other intellectual property.

You shall indemnify Us from and against any damages, fines, penalties, claims, costs, legal fees and expenses arising out of, or in connection with, any breach by You of this Agreement, any applicable laws or any other unlawful actions made by You, including, but not limited to, those stipulated above.

Remuneration

You shall be entitled to remuneration for the performance of the activities under this Agreement. TonyBet offers the following types of remuneration:

• Revenue Share – where applicable to You, You receive a certain portion of Our revenue (expressed in percentage) generated from the activities of customers (players) that register with TonyBet affiliated operators and wager their funds.
• Fixed Fee – where applicable to You, You to receive a fixed amount of remuneration for Your performance under this Agreement and for meeting the certain goal / target under this Agreement.
• CPA – where applicable to You, You receive a fixed payment for each customer (player) that meets certain triggers established by Us and is considered qualified by Us.

The type / -s of remuneration applicable specifically to You shall be agreed in the corresponding IO signed between the Parties in writing, or, where You participate in TonyBet Affiliate Programme, is subject to special conditions set out below apply. The structure and calculation methods of Your remuneration may vary depending on the nature of Your activities under this Agreement, and shall be subject to be offered at Our sole discretion.

Special remuneration & sub-affiliation terms applicable for affiliate activities

The following numerically ordered provisions shall apply where You participate in TonyBet Affiliate Programme.

1. The commission (“Commission”) We pay You is Your remuneration for Your performance related to referring Customers which open an account with TonyBet affiliated operators and then wager real money, through one of your Links. The Commission applicable to You is reflected in Your TonyBet Affiliate Programme account. We retain the right to change the Commission structure and the method of calculation of the Commission at any time.

2. “Net Revenue” means the gross revenue generated from Customers, less directly related expenses, including but not limited to applicable taxes, bonuses, and administrative fees.

3. Where explicitly agreed with You, a Cost-Per-Acquisition (“CPA”) Commission model may apply, whereby You receive a fixed payment for each qualifying Customer that meets the agreed trigger.

Customer shall qualify for CPA only if:

• Customer account remains active after trigger conditions are met;
• Customer is not identified as bonus abuser, fraudulent or self-excluded;
• Customer has not engaged in prohibited system-based play (i.e. Martingale roulette system and other), Customer is not an incentivized Customer;

We reserve the right to amend the CPA conditions at our sole discretion.

4. Notwithstanding anything to the contrary, You are entitled to Commission only in respect of such Customer who performs first-time deposit within 60 (sixty) days from the date We acknowledge the registration of such Customer. In addition, We reserve the right, at all times, to determine whether a Customer qualifies for Commission. For the avoidance of doubt, Duplicate Customers (i.e. Customers already having an account with TonyBet affiliated operators) shall not be considered eligible for calculation and payment of Commission to You.

5. In any given month, if a Customer generates a negative net revenue of at least $10,000, he/she will be deemed to be, for the purposes of this section, a ‘High-Roller’. If Your aggregate Net Revenue, in that month, is negative $2,000 or greater, then the High-Roller policy as set out hereunder, will apply:

• the negative Net Revenue generated by the High-Roller will be carried forward and offset against future Net Revenue generated by that same High-Roller;
• the negative balance carried forward cannot be set-off against other Customers’ Net Revenue;
• the negative balance carried forward cannot be greater than the total aggregate negative Net Revenue on Your Affiliate Programme account for that month;
• the negative balance of a High-Roller will be reduced by future positive Net Revenue that they generate in subsequent months;
• a negative balance will not be increased by future negative Net Revenue unless the High-Roller meets the qualifying criteria in subsequent months.

6. The Commission of the previous calendar month is added to the Your Affiliate Programme account within the 30 (thirty) days after the closure of previous month. The minimum threshold is €100, meaning that You can request a withdrawal once You have a balance of minimum €100 in Your Affiliate Programme account. If the balance due is less than the minimum threshold for the selected payment method (e.g. €500 for bank transfers), it will be carried over to the following month and will be payable when the accrued balance exceeds the minimum threshold.

In addition, the following specific conditions shall apply to Commission:

• if an error is made in the calculation of the Commission, We reserve the right to correct such calculation at any time and pay out the underpayment immediately or reclaim the overpayment made to You;
• if You disagree with the Commission due as reported You must send an email to TonyBet to [email protected] and indicate the reasons and/or observations, within 30 (thirty) days from the date on which the Commission was due. Failure to send an email within the prescribed time limit shall be deemed to be an irrevocable acknowledgement. Provided Your email is sent within the timeframe specified, We will review Your concerns in good faith; nevertheless, adjustments, if any, remain the subject of Our sole discretion and shall not create any obligation for Us;
• We retain the right to review all Commissions for possible fraud involvement, whether such fraud is on the part of the Customer, on the part of a Sub-Affiliate (see “Sub-Affiliate”), or on Your part. During the time which We review Commissions for possible fraud involvement or any other concerns due to illegal activity, TonyBet is entitled to withhold payment of any balance to You for during the time We reasonably require, at Our own discretion, to investigate the respective case and verify that the relevant transactions comply with the provisions of the Agreement, laws and regulations;
• You shall acknowledge and agree to return all Commissions received generated involving any fraud, illegal or otherwise prohibited activities, together with all costs for legal enforcement actions that may be brought against You in accordance with applicable law, and indemnify Us from and against all claims, penalties and direct damages We may suffer due to such of Your fraudulent activities. Moreover, without the prejudice to any other remedies We have under this Agreement and/or applicable laws, We reserve the right to withhold and/or forfeit any accrued but unpaid Commissions payable in case We discover any fraud involvement by You, any violation by You of this Agreement and/or applicable laws;
• You may not earn Commissions on the Net Revenue and/or on any Sub-Affiliate if the Customer or Sub-Affiliate is Your affiliated entity, Your employee, co-worker, shareholder, agent or, if You are the employee, agent or direct family member of the member of Our Affiliate Programme.

1. We consider a party as a “Sub-Affiliate”, when the party joins Our Affiliate Programme after arriving at TonyBet (its affiliated operators website) via Your unique Link, which is provided to You in Your Affiliate Programme account. We reserve the right at Our sole discretion to refuse the Sub-Affiliates (or terminate the Agreement with them) if necessary to comply with any requirements We may periodically establish.

8. In relation to the Sub-Affiliates, You are strictly prohibited from doing any of the following:

• introducing Yourself or a family member as a Sub-Affiliate;
• offering or providing a Sub-Affiliate or potential Sub-Affiliate any incentive (financial or otherwise) to act as or become a Sub-Affiliate;
• attempt to use the Sub-Affiliate scheme in any way whatsoever in bad faith against TonyBet and/or its affiliated entities.

Any such attempt on your part shall be considered as a fraudulent act against TonyBet and/or its affiliated entities and We shall have the right to immediately block Your Affiliate Programme account and You will forfeit any past and future Commission which has accrued to Your benefit.

9. Sub-Affiliates will receive Commission from TonyBet in accordance with the respective Agreement between the relevant affiliate and TonyBet. You will get a 5% commission of the total Sub-Affiliate Commission. For example, if Your Sub-Affiliate’s “A” Commission of the previous calendar month is €1000, You will receive €50 commission to Your Affiliate Programme account. The mentioned Sub-Affiliate commission is paid for the previous month within 30 (thirty) days after the closure of the previous month. The commission You get from Your Sub-Affiliates will be shown in a separate column of Your monthly balance.

Miscellaneous

This Agreement shall be governed by and interpreted in accordance to the laws of Gibraltar.

If You are in any doubt at all about whether Your marketing methodology or materials adhere to marketing rules, then You must seek prior approval from TonyBet before engaging in any marketing activity.

Furthermore, You shall comply with all directives, laws and regulations applicable to the use of cookies or the use, processing, storage and transfer of personal data, including but not limited to the EU General Data Protection Regulation 2016/697. Any electronic messages or other communications sent by, or caused to be sent by Partner, shall be free of Spam and in full compliance with all regulations related to the sending of commercial electronic messages, including the EU Privacy and Electronic Communications Directive 2002/58 and the EU General Data Protection Regulation 2016/697.

Neither Party shall be liable for performance of its obligations pursuant to this Affiliation Agreement in circumstances known to be beyond the reasonable control (force majeure). Such circumstances may include, but are not limited to, acts of God, natural disasters, fire, flood, explosion, earthquake, severe weather, war, terrorism, civil unrest, riots, embargoes, governmental restrictions or regulations, strike and other cases beyond the reasonable control of the affected Party. In such case the affected Party shall notify the other Party as soon as it is possible, and shall take the reasonable efforts to mitigate the impact of such circumstances. If such circumstances continue for more 30 (thirty) consecutive days, the affected Party is entitled to immediately terminate this Agreement.

You may not amend or waive any provision of the Agreement unless in writing and signed by both parties.

The headings and titles contained in the Agreement are included for convenience only, and shall not limit or otherwise affect the applicability of the Agreement.

You and Us shall give each other mutual support in the giving of effect to the spirit, purport and object of the Agreement.

You may not assign the Agreement to a third party except if Our prior written approval is given. Subject to that restriction, the Agreement will be binding on, inure to the benefit of, and enforceable against the third party and their respective successors and assigns. Our failure to enforce Your strict performance of any provision of the Agreement will not constitute a waiver of Our right to subsequently enforce such provision.

Any phrase introduced by the terms “including”, “include”, “for example”, “meaning” or any similar expression shall be construed as illustrative and shall not limit the sense of the words preceding those terms.

TonyBet rights and remedies hereunder shall not be mutually exclusive, i.e., the exercise of one or more of the provisions of this Agreement shall not preclude the exercise of any other provision. You agree and confirm, that damages may be inadequate for a breach or a threatened breach of the Agreement and, in the event of occurrence of the same, the respective rights and obligations of the Parties may be enforceable by specific performance, injunction, or another equitable remedy.

Nothing contained in the Agreement shall limit or affect any of TonyBet’s, rights at law, or otherwise, for a breach or threatened breach of any provision of this Agreement, it being the intent of this provision to make clear that TonyBet’s respective rights and obligations shall be enforceable in equity as well as at law or otherwise.

The Agreement is valid for as long as TonyBet or Partner make this service available unless the Affiliation Agreement is terminated prior thereto.

Relationship of parties

Nothing in the Agreement, will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between You and TonyBet or any other Partner and You have no authority to make or accept any offers or representations on their behalf.

You shall not make any statement, whether on the Affiliate Programme website or otherwise, that conflicts with the terms of the Agreement.

You shall not make any claims, representations, or warranties due to TonyBet or any other Partner and You have no authority to, and may not, bind TonyBet or any other Partner to any obligations outside of the Agreement unless agreed to in writing by either TonyBet or any other Partner.

Any notice given or made to Us under the Agreement shall be sent via email to [email protected]. TonyBet may send the Partner any notices given or made under the terms of the Agreement to the email address provided by the Partner. Any notice shall be deemed to have been received within 24 hours of delivery. If the receipt occurs before 9.00 a.m. CET on a Working Day, such notice shall be deemed to have been received on that specific day. If such receipt occurs after 6.00 p.m. CET on a Working Day, or on any day which is not a Working Day (holiday, weekend day, etc.), the notice shall be deemed to have been received at 9.00 a.m. on the following Working Day.
